1. Agreement to Terms

By accessing or using the services of Ikigai AI Integration Inc. ("Company," "we," "us," or "our"), including our website integrateai.today and any related services, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, then you may not access our services.

2. SMS/Text Messaging Terms

Program Name: Ikigai AI Updates & Notifications

Program Description: By opting in to our SMS service, you will receive text messages including but not limited to: AI integration updates, service notifications, appointment reminders, technical alerts, promotional offers, and customer support messages related to our AI integration services.

Opt-Out Instructions

You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

Important SMS Disclosures

Carrier Liability: Carriers are not liable for delayed or undelivered messages.
Message and Data Rates: Message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies based on your interaction with our services and account activity. For questions about your text plan or data plan, contact your wireless provider.
Message Frequency: You may receive up to 10 messages per month, though frequency may vary.
Supported Carriers: Our SMS service is compatible with major carriers including but not limited to: AT&T, Verizon, T-Mobile, Sprint, Boost, Cricket, MetroPCS, U.S. Cellular, Virgin Mobile, and others.

In any way that violates any applicable federal, provincial, local, or international law or regulation
To transmit any unauthorized advertising or promotional material
To impersonate or attempt to impersonate the Company or another user
To engage in any conduct that restricts or inhibits anyone's use of our services
To introduce viruses, malware, or other harmful code

AI Integration Services

Our AI integration services are provided "as is" and we make no warranties about the suitability of the services for your specific needs. You acknowledge that AI technologies may have limitations and potential biases.

4. Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Ikigai AI Integration Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both Canada and foreign countries. Our trademarks may not be used in connection with any product or service without our prior written consent.

5. User Content and Data

Your Responsibilities

All fees are quoted in Canadian dollars unless otherwise specified
Payment is due according to the billing terms agreed upon
We reserve the right to change our fees upon 30 days' notice
Refunds are handled according to our refund policy

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COMPANY NOR ANY PERSON ASSOCIATED WITH THE COMPANY MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES.

8. Limitation of Liability

IN NO EVENT SHALL IKIGAI AI INTEGRATION INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

9. Indemnification

You agree to defend, indemnify, and hold harmless Ikigai AI Integration Inc. and its licensees and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Victoria, British Columbia.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

13. Prohibited Content and Activities

Users agree not to use our services for any content or activities involving:

Tier 1 Violations ($2,000 fine): Phishing, smishing, social engineering, or any attempt to fraudulently obtain sensitive information
Tier 2 Violations ($1,000 fine): Any illegal content that violates federal law or the laws of any Canadian province or U.S. state
Tier 3 Violations ($500 fine): SHAFT content (sex, hate, alcohol, firearms, tobacco) that does not comply with applicable laws and regulations, including age-gating requirements

14. Age Restrictions

You must be at least 13 years of age to use our services. If you are under 18, you must have parental or guardian consent to use our services and opt into SMS communications.

17. Entire Agreement

These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have between us regarding the Service.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

19. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

20. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.
